CCI Approves Five Major Deals, Including Sapphire Foods-Devyani International Merger

The Competition Commission of India (CCI) has cleared five significant mergers and acquisitions from the food services, renewable energy, electricity, financial services and telecommunications industries. The clearances, which were given on October 30th and 31st, 2026, include the proposed merger of Sapphire Foods India Limited and Devyani International Limited, where both companies will merge their operations of the KFC and Pizza Hut fast-food chains in India.
The clearances are significant steps towards the clearance of these deals, albeit there are other conditions that need to be fulfilled by these companies.
Sapphire Foods-Devyani Merger Gets Regulatory Approval
With the new deal, Sapphire Foods will be merged with Devyani International, the owner of KFC and Pizza Hut restaurants in India. In addition, Devyani is an exclusive franchisee of Costa Coffee, New York Fries and Sanook Kitchen in India.
Together, this company would manage more than 3,000 restaurants worldwide, having ₹8,000 crore annualised turnover. This merger would lead to increased efficiency and larger restaurant chain. The decision of the CCI will come in detail soon.
Aditya Birla Renewables Gets Approval for Shell Acquisition
In the renewable energy domain, the CCI cleared the proposal of Aditya Birla Renewables Limited for acquiring 100% equity of Solenergi Power Private Limited from Shell Overseas Investment BV.
The deal, worth around ₹17,200 crore, involves the renewable energy business of Shell’s Sprng Energy in India. The acquisition would increase the footprint of Aditya Birla Group in India’s renewable energy market.
Adani Energy Solutions’ IntelliSmart Deal Cleared
The regulator also gave the green light for the acquisition of IntelliSmart Infrastructure Private Limited by Adani Energy Solutions Limited, which is valued at ₹3,050 crore.
This acquisition is of 100% equity share capital and will help Adani to become stronger in the smart electricity meters market in India.
Prosus and Vodafone Transactions Also Approved
The other two clearances relate to the financial services and telecommunications sectors.
The CCI cleared the acquisition of a certain stake in Navi Limited by MIH Payments Holdings BV, which is an indirect wholly-owned subsidiary of Prosus NV. The financial services firm, founded by Sachin Bansal, provides its financial services using its mobile app.
Additionally, French firm Vega SAS has obtained clearance for the acquisition of a 16.2% share in Vodafone Group PLC, which is engaged in telecommunications business in Europe and Africa, and in India via Vodafone Idea.
What the Five Approvals Mean
These deals involve companies that work in industries which form a part of the economic infrastructure of India. Although the clearances represent a significant breakthrough, they do not in any way indicate that the deals have been concluded in totality.
There remain several things for the companies to do in order to implement the proposed mergers.
